Welcome to FleetWork Solutions. These Terms of Service ("Terms") govern your use of our website located at fleetworksolutions.net ("Site"), our freight services, and our educational training programs (collectively, "Services").

By accessing our Site or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

1. Services Overview

FleetWork Solutions provides two primary categories of services:

1.1 Freight Services

• Freight pickup and transportation
• Last-mile and regional delivery
• Warehousing and storage solutions
• Logistics coordination and tracking

1.2 Educational Services (FleetWork Academy)

• Trucking authority training programs
• Video courses and educational content
• Coaching and mentorship sessions
• Done-for-you authority setup services

2. Account Registration

To access certain Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

3. Freight Services Terms

3.1 Service Requests and Quotes

Freight service quotes are estimates based on information provided. Final pricing may vary based on:

• Actual shipment weight and dimensions
• Pickup and delivery accessibility
• Special handling requirements
• Fuel surcharges and market conditions
• Additional services requested

3.2 Shipping Requirements

You agree to:

• Provide accurate shipment details (weight, dimensions, contents)
• Properly package and label all freight
• Ensure freight is ready at scheduled pickup time
• Disclose any hazardous materials or special handling needs
• Comply with all applicable shipping regulations

3.3 Prohibited Items

We do not transport:

• Illegal substances or contraband
• Explosives or weapons
• Hazardous materials (without prior arrangement and proper documentation)
• Live animals
• Perishables (without prior arrangement)
• Items prohibited by law

3.4 Liability and Claims

Claims for loss or damage must be submitted in writing within 30 days of delivery (or expected delivery for lost shipments). We are not liable for:

• Damage caused by improper packaging
• Acts of God, natural disasters, or force majeure
• Delays caused by weather, traffic, or circumstances beyond our control
• Consequential, incidental, or indirect damages

3.5 Storage Services

For warehousing and storage:

• Storage fees are billed monthly in advance
• 30-day written notice required for termination
• We maintain commercially reasonable security but are not insurers of stored goods
• You must maintain adequate insurance on stored items
• Abandoned goods (unpaid storage exceeding 90 days) may be sold to recover fees

4. Training Program Terms

4.1 Program Tiers

4.2 Access and Delivery

• Digital content access is provided within 24 hours of purchase confirmation
• Coaching sessions are scheduled based on mutual availability
• Platinum services are completed within 30-45 business days (dependent on government processing times)
• Access to course materials is granted for 12 months from purchase date

4.3 Your Responsibilities

As a training program participant, you agree to:

• Provide accurate information for authority filings (Platinum tier)
• Attend scheduled coaching sessions or provide 24-hour cancellation notice
• Not share, distribute, or resell course materials
• Use the training for lawful purposes only
• Understand that results depend on your effort and market conditions

4.4 No Guarantees of Results

5. Payment Terms

5.1 Pricing and Payment

• All prices are in U.S. dollars unless otherwise stated
• Payment is processed securely through Stripe
• Training programs require full payment at time of purchase (unless payment plan selected)
• Freight services are invoiced per our agreed terms (typically Net 15 or Net 30)

5.2 Payment Plans

Payment plans may be available for select training programs:

• Payment plans are subject to approval
• Missed payments may result in suspension of access
• Full balance becomes due upon default
• Payment plan pricing may differ from one-time payment pricing

5.3 Late Payments

For freight services with payment terms:

• Invoices not paid within terms are subject to 1.5% monthly interest
• Collection costs and reasonable attorney fees may be added to past-due amounts
• Services may be suspended for accounts more than 30 days past due

6. Refund Policy

• Training Programs: 30-day money-back guarantee from purchase date
• Platinum Services: Refunds prorated based on work completed
• Freight Services: No refunds for completed services; adjustments for service failures

7. Intellectual Property

7.1 Our Content

All content on our Site and in our training programs—including text, graphics, logos, videos, course materials, and software—is owned by FleetWork Solutions or our licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our training materials for personal, non-commercial purposes. You may not:

• Copy, reproduce, or distribute course materials
• Create derivative works from our content
• Share login credentials or account access
• Use our materials to create competing products or services
• Remove copyright or proprietary notices

7.3 Trademarks

"FleetWork Solutions," "FleetWork Academy," "LoadIQ," and associated logos are trademarks of FleetWork Solutions. You may not use these marks without our prior written consent.

8. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm others
• Provide false or misleading information
• Interfere with the proper functioning of our Services
• Use our Services for fraudulent purposes

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption
• These limitations apply regardless of the theory of liability

You agree to indemnify, defend, and hold harmless FleetWork Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your freight shipments or business operations

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in Cuyahoga County, Ohio, in accordance with the rules of the American Arbitration Association. This arbitration agreement does not preclude you from bringing issues to the attention of government agencies.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class arbitrations.

13. Termination

We may suspend or terminate your access to our Services at any time for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our discretion with reasonable notice

Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our Site. Continued use of our Services after changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and FleetWork Solutions regarding our Services
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them freely
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
